Terms of Service.
The ground rules for working with D8.Digital. Plain language, no surprises.

1. Acceptance of Terms
By using the D8.Digital website or engaging D8.Digital for services, you agree to these Terms of Service. If you're entering into a specific project agreement, that agreement's terms govern our engagement — these terms apply to general use of this website and serve as a baseline for all client relationships.
D8.Digital refers to D8.Digital LLC (formerly Demonstr8d Solutions), headquartered in Houston, TX.
2. Services
D8.Digital offers digital services including but not limited to:
- Brand identity and visual design
- Website design and development
- Search engine optimization (SEO)
- Marketing strategy and consulting
- eCommerce design and setup
- Content strategy and copywriting
The specific scope of work for any engagement is defined in a written proposal or statement of work. We do not begin project work without a signed agreement and, where required, an initial deposit.
3. Proposals & Agreements
All proposals are valid for 30 days from the date issued unless otherwise stated. A proposal does not constitute a binding agreement — work begins only when both parties have signed a project agreement and any required deposit has been received.
Changes to scope, timeline, or deliverables after an agreement is signed must be documented in writing and may affect pricing and schedule.
4. Payment
Payment terms are outlined in each project agreement. Standard practice:
- A deposit (typically 50%) is due before project work begins
- Remaining balance is due upon project completion or at milestones defined in the agreement
- Invoices are due within the timeframe stated on the invoice (typically Net 15)
- Late payments may incur a late fee as specified in the project agreement
D8.Digital reserves the right to pause work on any project where payment is overdue. Completed work, files, and deliverables will not be transferred until the account balance is settled in full.
5. Intellectual Property
Your content: Any content, logos, copy, or assets you provide to us remain your property. You grant D8.Digital a license to use them solely for delivering your project.
Our work: Upon receipt of full payment, D8.Digital transfers ownership of the final deliverables to you as defined in the project agreement. This includes design files, code, and other agreed-upon assets.
Portfolio rights: Unless you request otherwise in writing, D8.Digital reserves the right to display completed work in our portfolio and marketing materials. We will never share confidential business information in doing so.
Third-party assets: Some projects incorporate third-party components (stock imagery, icon libraries, fonts, plugins). Licensing for these remains subject to their respective terms. We'll inform you of any licensing requirements that affect your use of the deliverables.
6. Client Responsibilities
A successful project is a two-way relationship. As a client, you agree to:
- Provide timely feedback, approvals, and required content within agreed timeframes
- Ensure you have the rights to any content, logos, or materials you provide to us
- Designate a primary point of contact with authority to approve decisions
- Pay invoices on time per the agreed schedule
Delays caused by late client feedback or missing materials may affect the project timeline and are not the responsibility of D8.Digital.
7. Revisions & Scope
Each project agreement specifies the number of revision rounds included. Revisions within scope are addressed promptly. Requests that fall outside the agreed scope — significant additions, new features, or fundamental direction changes — will be quoted separately.
We're collaborative by nature and will always discuss scope questions openly before they become billing disputes.
8. Timeline & Delays
Project timelines are estimates based on the scope and agreed client responsiveness. D8.Digital will communicate proactively if a timeline is at risk.
D8.Digital is not liable for delays caused by client-side delays (late feedback, missing assets, slow approvals), third-party service outages, or circumstances outside our reasonable control.
9. Confidentiality
Both parties agree to keep confidential any non-public business information shared during a project engagement. This includes pricing, business strategy, proprietary processes, and any information marked as confidential.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Limitation of Liability
D8.Digital's liability for any claim arising out of services rendered is limited to the total fees paid by the client for the specific project giving rise to the claim.
D8.Digital is not liable for indirect, incidental, or consequential damages, including lost revenue or business opportunity, even if we have been advised of the possibility of such damages.
We make no guarantees about specific business outcomes — results from branding, SEO, and marketing work depend on many factors beyond our control. We stand behind the quality of our execution, not specific revenue or traffic targets unless explicitly agreed in writing.
11. Termination
Either party may terminate a project engagement with written notice. Upon termination:
- Client owes payment for all work completed to date, prorated against the project fee
- D8.Digital will deliver any completed work and files upon receipt of final payment
- Work in progress that has not been paid for remains the property of D8.Digital
D8.Digital reserves the right to terminate engagements where a client acts in bad faith, fails to pay, or creates a working environment that is hostile or unethical.
12. Governing Law
These terms are governed by the laws of the State of Texas, United States. Any disputes arising from these terms or a project engagement shall be resolved in the courts of Harris County, Texas, unless both parties agree to an alternative resolution method.
We'd rather resolve disagreements through conversation than litigation. If something isn't working, reach out to us directly first.
